1. The Platform & These Terms
These Terms of Service apply to the InGenuity Community Management Platform ("Platform"), provided by InGenuity Texas Managed IT Services, LLC ("InGenuity," "we," or "us"). They cover community-management and kiosk features, staff tools, member portals, hosted applications, and organization-branded versions.
By accepting these Terms as part of account setup, onboarding, or an applicable service agreement, you agree to them. If you act for an organization, you must be authorized to do so. Do not use the Platform if you do not agree. Your organization's rules for memberships, activities, and facilities are separate from these software terms.
2. Accounts & Authorized Access
Use accurate information and only accounts and records you are authorized to access. Your organization approves member and household access and assigns staff permissions. An imported record, Google email address, or successful Google sign-in does not by itself grant a membership, staff role, or authority over another person's records.
Protect your login methods, use available security controls, sign out of shared devices, and promptly report suspected account misuse. Account holders must have legal capacity to accept these Terms or appropriate authorization and supervision from a parent, guardian, or responsible organization. Children should not independently open accounts or authorize integrations.
3. Permission to Use the Software
Subject to these Terms and the applicable organization agreement, InGenuity grants a limited, nonexclusive permission to use the configured Platform for the organization's approved operations. You may not resell access, redistribute the software, or use it for another organization unless your written agreement permits it.
InGenuity and its licensors retain rights in the software, design, and related materials. Organizations and their users retain their rights in the records and content they provide. Open-source components remain subject to their applicable licenses.
4. Organization Records & Responsibilities
Your organization is responsible for its data, authorized imports, access assignments, notices and consents, published content, and decisions about eligibility, fees, programs, facilities, and record retention. Users should correct inaccurate information through the organization rather than creating duplicate accounts or misrepresenting identity.
You give InGenuity permission to process supplied records and content as necessary to provide, secure, and support the Platform, consistent with the Privacy Policy and applicable service arrangements. This does not give us ownership of your records or permission to sell them. Do not upload content you lack permission to use or sensitive information beyond the approved purpose of the installation.
5. Acceptable Use
- Do not access another person's records without authority, impersonate someone, or bypass permissions or security controls.
- Do not upload malware, interfere with other users, overload the service, or attempt to extract credentials.
- Do not use the Platform for unlawful activity, harassment, misleading communications, or unauthorized collection of personal information.
- Do not enter real customer records or credentials into a public demonstration.
- Do not remove ownership notices, redistribute proprietary software, or circumvent license limits, except where applicable law expressly allows otherwise.
Organizations must use imports, exports, communications, and integrations responsibly and maintain an appropriate legal basis for the information they process.
6. Google & Other Connected Services
Google sign-in and optional Calendar publishing require authorization through Google. Use only accounts you are authorized to connect. Google sign-in does not grant mailbox or calendar access; Calendar is a separate connection. The current Calendar integration works with application-created calendars and explicitly published schedule entries, not your personal calendar.
The Platform's local program and facility records remain authoritative. A Google event does not reserve a room, collect a payment, or register a member. Staff must review publishing results and republish applicable changes. Disconnecting stops future publishing but does not automatically erase existing Google entries or local records.
Connected services have their own terms, availability, limits, and privacy policies. You may withdraw permission, but a feature depending on it may stop working. Google data is handled under the Privacy Policy and the Google API Services User Data Policy, including its Limited Use requirements. No organization agreement authorizes a use that those requirements prohibit.
7. Licensing, Purchases & Refunds
Software license fees, setup charges, included modules, support, renewal terms, and cancellation or refund arrangements are established in your organization's written order or agreement with InGenuity. Viewing a demonstration or requesting information does not purchase a license or create a subscription. No annual price is established by this page.
Membership dues, registrations, facility rentals, and other purchases from a community organization are governed by that organization's stated policies. Payment providers may apply their own terms and charges. Contact the organization about its prices, refunds, or disputed transactions. Membership termination alone does not cancel a processor subscription or issue a refund.
8. Availability, Changes & Support
Features depend on the version, enabled modules, installation, and connected services. Internet access is required for connected operations. A kiosk inactivity reset protects the active interaction; it is not a guarantee of offline capture or a deletion of organization records.
We may update the software for maintenance, security, or improvement. Organizations should maintain supported devices and follow their update arrangements. Maintenance, outages, provider restrictions, and failures can interrupt service. Support coverage, response commitments, and any service levels are defined in a written agreement, not assumed from these Terms.
9. Demonstrations & Pilot Features
A separately labeled demo is an evaluation environment with fictional records and simulated activity. It is not a production account. Its data may reset at any time, and it does not process real payments, deliver email, authorize Google access, or connect to customer systems. Do not rely on a demo for actual attendance, eligibility, finances, or scheduling.
A preview or pilot feature is not a promise of commercial availability, certification, or a delivery date. Production scope and integrations must be confirmed in the organization's written agreement. A demonstration does not grant permission to operate or redistribute the full application.
10. Suspension, Closure & Data
We or the organization may restrict access when required by an applicable agreement, misuse, a credible security risk, or legal obligation. Where appropriate, we will provide notice and an opportunity to address the issue; urgent protective action may be necessary first.
Closing an account or ending a membership does not automatically delete all records. Eligible data access, export, and deletion requests are handled as described in the Privacy Policy and the organization's service arrangements. Ask about an export before service ends; do not assume continued access after termination.
11. Important Limitations
The Platform helps organizations manage their operations. It is not an emergency service or a substitute for staff judgment, professional advice, financial reconciliation, or an organization's duty to verify access and scheduling decisions.
Except for express commitments in a written agreement and to the extent permitted by applicable law, the Platform is provided as available without a promise of uninterrupted or error-free service. InGenuity is not responsible for an organization's decisions, incorrect supplied records, unauthorized uses, or failures of independently operated third-party services.
Any limitation of liability in an organization's written agreement applies subject to applicable law. To the extent the law permits, InGenuity is not liable for indirect or consequential losses resulting from use of the Platform. Nothing in these Terms excludes liability or rights that cannot lawfully be excluded.
12. Agreements, Changes & Governing Law
A separately signed organization agreement controls its expressly conflicting commercial provisions. It does not override mandatory law, the Privacy Policy's stated data-use restrictions, or Google's applicable data-use requirements.
We may revise these Terms and identify the revision by its effective date. Material changes will be communicated through an appropriate notice and acceptance process where required. Texas law governs these Terms except where mandatory applicable law requires otherwise. Contact us first about a concern so we can try to resolve it; these Terms do not impose mandatory arbitration or waive nonwaivable rights.
